1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Tandem Martech, located at 8198 Westray Drive, Sacramento, CA 95829. By accessing or using the Platform at app.tandemmartech.io, you agree to be bound by these Terms.

2. Description of Services

Tandem Martech provides an AI-powered marketing intelligence platform including Google Ads analysis and optimization, SEO auditing, Search Console analysis, period-over-period performance comparison, multi-client agency management, and PDF report generation. All recommendations are advisory in nature — you are solely responsible for any decisions made based on Platform output.

3. Account Registration and Access

Access requires authentication via Google OAuth. Each agency is responsible for all activity under their account including actions by team members they invite. Access is by invitation during the current early access period. We reserve the right to grant, revoke, or suspend access at our discretion.

4. Acceptable Use

You agree not to use the Platform to analyze accounts you are not authorized to access, upload data you do not have the right to share, reverse engineer the Platform or its AI models, generate spam or fraudulent advertising, resell or transfer access without written permission, or violate applicable laws including Google's advertising policies.

5. Google Ads API Usage

When using the Google Ads API integration, you agree to only connect accounts you are authorized to access, comply with Google's Terms of Service, and take full responsibility for any account changes made through the Platform. Tandem Martech is not affiliated with or endorsed by Google.

6. Data and Intellectual Property

You retain ownership of all data you upload. By using the Platform, you grant us a limited license to process your data solely for providing the services described herein. The Platform, including its design, features, and underlying technology, is the exclusive property of Tandem Martech.

7. Payment and Billing

Subscription fees will be established when you subscribe to a paid plan. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days notice to existing subscribers.

8. Disclaimers and Limitation of Liability

We do not guarantee that following our recommendations will result in improved advertising performance or any specific outcome. You are solely responsible for evaluating and implementing any recommendations.

9. Termination

Either party may terminate at any time. Upon termination, your access is revoked and data retained for 90 days then permanently deleted. You may request a data export within that window.

10. Governing Law

These Terms are governed by the laws of the State of California. Disputes shall be resolved in courts located in Sacramento County, California.

11. Changes to Terms

We may modify these Terms at any time with notice via email or the Platform. Continued use after changes constitutes acceptance.
